Clause 01About these terms

Duoledger is provided by Duoledger Ltd, registered in England and Wales (company number 17450275), registered office 61 Albert Bridge Road, London SW11 4QA. In these terms "we", "us" and "our" mean Duoledger Ltd, and "you" means the person or business using the service.

By creating an account, subscribing, or using any part of the service you agree to these terms and to our Privacy Policy. If you do not agree, do not use the service.

If you are entering into these terms on behalf of a company, partnership or other organisation, you confirm you have authority to bind it, and it is bound by these terms.

Consumers keep their statutory rights. Nothing in these terms limits your rights under the Consumer Rights Act 2015 or the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Where a clause is marked as applying to business users, it does not reduce a consumer's statutory protection.

Clause 02Definitions

  • Service — the Duoledger website, the web app at app.duoledger.co.uk, and all related features, integrations, documentation and support.
  • Your Content — everything you enter or upload: properties, trades, transactions, receipts, notes and settings, including any personal data about third parties.
  • Subscription — a paid plan bought through the service.
  • Billing Period — the monthly or annual interval on which your Subscription renews.
  • MTD — HMRC's Making Tax Digital for Income Tax regime.
  • Submission — a quarterly update, final declaration or other filing sent to HMRC through the service on your instruction.

Clause 03Eligibility and your account

  • You must be at least 18 and able to enter a binding contract.
  • The service is designed for UK taxpayers with UK property or self-employment income. It does not handle non-UK tax regimes, corporation tax, VAT returns or payroll.
  • You must give accurate registration details and keep them current.
  • You are responsible for keeping your password secure and for all activity under your account. Tell us immediately at support@duoledger.co.uk if you suspect unauthorised access.
  • An account is for one taxpayer's books. You may invite people permitted by your plan — for example an accountant with read-only access on the Portfolio plan — but you must not share login credentials.
  • You are responsible for the acts of anyone you invite, and you must have the right to enter any third-party data you upload.

Clause 04Beta status and HMRC recognition

Duoledger is in paid beta. Core bookkeeping is live and billed, while some modules — including live bank feeds and HMRC filing — are being completed and validated. Features may change or be withdrawn, and occasional faults are possible.

We are registered with HMRC's Software Developer Support Team and integrated with the MTD sandbox, and we are working through HMRC's recognition checklist for recognised MTD Income Tax software. Until recognition and production approval are complete, you should not rely on Duoledger as your sole route to file with HMRC. Keep your own backups and, where your obligations are already live, keep a working alternative in place. MTD applies to landlords and traders over £50,000 from April 2026, over £30,000 from April 2027 and over £20,000 from April 2028 (ICAS summarises the timeline); confirming which applies to you is your responsibility.

You can export your books at any time, so you are never locked in while the remaining modules land.

Clause 05Plans and pricing

Duoledger is sold on four progressive plans:

PlanPrice per monthIntended for
Solo£5A single income source and light bookkeeping
Small£12A small portfolio or a single trade with more volume
Hybrid£19Property plus self-employment in one set of books
Portfolio£29Larger portfolios, plus read-only accountant access

Current plan limits — such as the number of properties, trades or connected accounts — are shown on the pricing page and in the app, and are enforced on our servers. If you exceed a limit you will be asked to upgrade before adding more.

Prices are shown in pounds sterling. Where VAT applies it will be shown at checkout and on your invoice. We may change prices; existing subscribers get at least 30 days' notice by email before a change affects them, and you may cancel before the new price applies. Promotional pricing applies only for the period stated.

Clause 06Billing, payment and renewals

  • Payments are processed by Stripe. We do not receive or store your full card details. Stripe's own terms apply to the payment itself.
  • Subscriptions renew automatically at the end of each Billing Period until cancelled. You authorise us to charge your saved payment method on each renewal.
  • You can change plan, update your card, view invoices or cancel at any time through the customer portal in your account.
  • Upgrades take effect immediately and are prorated for the remainder of the Billing Period. Downgrades take effect at the next renewal, and you keep the higher plan's features until then.
  • If a payment fails we will retry and email you. If it remains unpaid we may restrict access to paid features. Your data is retained for the period set out in our Privacy Policy.
  • Business users must pay without set-off or deduction. Statutory interest may apply to late payment under the Late Payment of Commercial Debts (Interest) Act 1998.

Stripe is our billing record of truth. If our records and Stripe's ever disagree — for example after a webhook fails — tell us and we will reconcile your subscription to the position held by Stripe.

Clause 07Free trials

  • A first Subscription includes a 30-day free trial.
  • The trial converts to a paid Subscription at the end of the 30 days unless you cancel before it ends. We will remind you before that happens.
  • Trials are one per user. If you cancel you may subscribe again later, but you will not receive a second trial. Accounts that are already active or trialing cannot claim a further trial.
  • We may withdraw or shorten trials for accounts that appear to be abusing them, including through duplicate registrations.

Clause 08Cancellation and refunds

Cancelling your subscription

You can cancel at any time from the customer portal. Cancellation takes effect at the end of the current Billing Period: you keep access until then, and you are not charged again. We do not generally refund part-used periods except where the law requires it or where clause 8.3 applies.

Your 14-day cooling-off right

As a consumer buying at a distance you normally have 14 days from entering the contract to cancel for any reason under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Because the service is supplied immediately, when you subscribe you ask us to begin at once and acknowledge that you will lose the right to cancel once the service has been fully performed. If you cancel within the 14 days after we have begun, you may be charged a proportionate amount for what you have used. Free trials mean this rarely results in a charge. To exercise the right, email support@duoledger.co.uk.

Refunds we will make

If the service is not as described, not supplied with reasonable care and skill, or a fault we caused prevented you from using a paid feature for a material period, tell us and we will put it right, provide a partial refund, or both. If we discontinue a paid feature you rely on, or terminate your Subscription other than for your breach, we will refund the unused portion of your current Billing Period.

Your data after cancellation

Export your records before your access ends. After cancellation your data is handled as described in our retention schedule. Deletion is not reversible once done.

Clause 09The service is software, not tax advice

This is important. Duoledger is bookkeeping and filing software. We are not accountants, tax advisers or your agent, and nothing in the app, our website, our emails or our support replies is tax, accounting, legal or financial advice.

  • You are responsible for the accuracy and completeness of Your Content, and for the figures in any Submission.
  • You are responsible for meeting your own deadlines and obligations, including registering for MTD where required, and for any interest or penalties HMRC charges you.
  • Category suggestions, automatic categorisation, receipt extraction and tax estimates are aids. They can be wrong, and every one of them is editable. Review before you save and before you submit.
  • Tax estimates in the app are indicative only, based on what you have entered. They are not an HMRC calculation and they do not account for circumstances you have not recorded.
  • Where your affairs are complex — joint ownership, incorporation, capital gains, non-resident landlord status, or anything unusual — take professional advice.

Clause 10HMRC submissions

  • Submissions are only ever sent when you instruct them after reviewing the figures. We do not file on your behalf automatically.
  • You must hold the necessary HMRC authorisations and keep your HMRC connection valid. If it lapses or you disconnect it, we cannot submit.
  • HMRC requires us to send fraud prevention header data with every request. We must send it accurately and cannot disable it — see the Privacy Policy.
  • We are not responsible for HMRC outages, rejections, changes to HMRC's APIs or regime, or delays outside our control. Where HMRC rejects a Submission we will surface the reason so you can correct and resend.
  • Once submitted, corrections follow HMRC's own process for amendments. We will help you use it, but we cannot unsend a filing.

Clause 11Bank feeds and other third parties

Bank connections are optional and use TrueLayer, an FCA-authorised account information service provider. Access is read-only, you authenticate with your own bank, and we never receive your banking credentials. You may revoke access at any time in Duoledger or with your bank.

  • You must only connect accounts you are entitled to access.
  • Imported transactions are proposals for your books. You must review them, and items we are unsure about are routed to a review inbox rather than posted automatically.
  • Banks sometimes deliver incomplete, delayed, duplicated or reclassified data. You remain responsible for reconciling your records against your statements.
  • We rely on third parties — including Stripe, TrueLayer, Supabase, Cloudflare and HMRC — and are not liable for their acts or outages beyond our reasonable control, though we will tell you when a dependency is affecting you.

Clause 12Acceptable use

You must not:

  • use the service unlawfully, including to record or facilitate tax evasion, fraud, or money laundering;
  • submit information to HMRC that you know or suspect to be false;
  • share credentials, resell or sublicense access, or use one account for multiple unrelated taxpayers in breach of your plan;
  • attempt to access another user's data, bypass authorisation or plan limits, probe or test our security without written permission, or interfere with the service's operation;
  • reverse engineer, copy, scrape or create derivative works from the service, except where the law expressly permits it;
  • upload malware, or content that is unlawful, infringing or offensive;
  • use the service to build a competing product, or to benchmark it publicly without our written consent;
  • place unreasonable load on our systems or connected APIs, including through automated access we have not authorised.

If you find a security vulnerability, please report it to support@duoledger.co.uk rather than exploiting or publishing it. We will acknowledge, investigate and credit responsible disclosure.

Clause 13Your data, our software

You own your content

Your Content is yours. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit and display it solely to operate, secure, support and improve the service for you, and to make Submissions you instruct. This licence ends when the content is deleted, subject to backups and retention we must keep.

Where Your Content contains personal data about other people, we act as your processor and the terms of our Privacy Policy apply. You confirm you have a lawful basis for providing it.

We do not train models on your books

We do not use your bookkeeping records, bank transactions or receipts to train our own machine learning models. We may use aggregated, de-identified statistics that cannot identify you or your business to improve accuracy and performance.

Our intellectual property

We own the service, its software, design, content and the Duoledger name and marks. You get a limited, revocable, non-transferable right to use the service in accordance with these terms while your Subscription is active. No other rights are granted.

Feedback

If you send us suggestions or beta feedback, you allow us to use it freely to improve the service without obligation or payment. We will not identify you publicly without your consent.

Clause 14Availability and support

We aim for high availability but do not promise the service will be uninterrupted or error-free during beta, and we do not currently offer a contractual uptime guarantee. We may carry out planned maintenance, and will try to schedule it outside UK business hours and away from quarterly MTD deadlines. We will give notice of significant planned downtime.

Support is provided by email at support@duoledger.co.uk. We aim to respond within one business day, and faster where a filing deadline is at risk. We recommend you export a copy of your records periodically as your own backup, in addition to the backups we keep.

Clause 15Changes to the service and to these terms

We will keep developing the service, and we may add, change or remove features — for legal or regulatory reasons, for security, to reflect HMRC changes, or to improve the product. We will not make a change that materially reduces the core functionality of your plan without giving you at least 30 days' notice, and in that case you may cancel and receive a refund of the unused part of your current Billing Period.

We may update these terms. The version and date at the top show the current text. For material changes we will give account holders at least 30 days' notice by email or in-app notice, except where a change must be made sooner for legal or security reasons. Continuing to use the service after a change takes effect means you accept the updated terms; if you do not accept them, cancel before they take effect.

Clause 16Liability

What we never exclude

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited — including a consumer's rights under the Consumer Rights Act 2015.

If you are a consumer

We are responsible for loss or damage you suffer that is a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. We are not responsible for loss that is not foreseeable, or for loss caused by your own failure to review figures, meet deadlines, or keep your account secure. We are not liable for business losses; if you use the service for a business the clause below applies instead.

If you are a business user

We exclude all implied terms to the maximum extent permitted. We are not liable for loss of profit, revenue, business, goodwill, anticipated savings, or for indirect or consequential loss, or for interest and penalties charged by HMRC arising from figures you approved. Our total liability in any 12-month period is limited to the greater of the fees you paid us in the previous 12 months, or £100.

Your responsibility

If you are a business user, you will indemnify us against claims arising from your unlawful use of the service, from content you upload that infringes another person's rights, or from your breach of clause 12.

Clause 17Suspension and termination

  • You may stop using the service and close your account at any time.
  • We may suspend or restrict access immediately where we reasonably believe there is unlawful activity, a security risk, a serious breach of clause 12, or unpaid fees. Where practical we will warn you first and give you a chance to fix the problem.
  • We may terminate your Subscription by giving 30 days' notice, refunding the unused portion of your current Billing Period.
  • On termination your licence to use the service ends. You should export your records first; access to export may end with the Subscription.
  • Clauses that by their nature should survive termination — including 9, 13, 16 and 19 — continue to apply.

Clause 18General

  • Whole agreement. These terms and the Privacy Policy are the entire agreement between us on their subject matter, and replace any earlier statements. Business users confirm they have not relied on any representation not set out here.
  • Notices. We will contact you using the email address on your account, so keep it current. You can reach us at the addresses in clause 19.
  • Assignment. You may not transfer your rights without our consent. We may transfer ours to a group company or a buyer of the business, and will tell you if we do; your rights are unaffected.
  • No waiver. If we delay in enforcing a term, that does not prevent us enforcing it later.
  • Severance. If a provision is found unenforceable, the rest continues in force.
  • Third parties. No one other than you and us has rights under these terms.
  • Force majeure. Neither party is liable for failure caused by events beyond reasonable control, including internet or provider outages, cyber attacks, and acts of government.
